Terms of Service

Introduction & Corporate Relationship

These Terms of Service (“Terms”) govern your access to and use of HelixFlow (“HelixFlow,” “we,” “us,” or “our”), an advanced laboratory operations platform developed, owned, and operated by Helix Bridge Labs. HelixFlow includes our web application, APIs, and related services delivered on the HelixFlow Cloud Tier (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.

The HelixFlow Cloud Tier is a fully managed SaaS deployment hosted on Supabase PostgreSQL database infrastructure. Your organization's scientific workflow data is isolated at the database layer via PostgreSQL Row-Level Security (RLS) firewalls that scope every query to the authenticated user's organization and role context. Completed experiment runs are further safeguarded by engine-level execution triggers that permanently lock finalized headers and step records against downstream modification or deletion.

Eligibility & Accounts

HelixFlow is intended for authorized personnel of licensed biotech and life-sciences organizations. By using the Service, you represent that you meet the following criteria:

  • You are at least 18 years of age and legally capable of entering into binding agreements on behalf of yourself or your organization.
  • You have been provisioned access by your organization's workspace administrator and are authorized to perform laboratory operations within that workspace.
  • You will maintain the confidentiality of your credentials and notify us promptly if you suspect unauthorized access to your account.
  • You accept responsibility for all activity conducted under your authenticated session, including step execution, scheduling actions, and integration authorizations you enable.

Use of the Service

HelixFlow supports laboratory workflow execution, bench scheduling, spatial inventory management, instrument booking, and compliance-oriented reporting. You agree to use the Service only for lawful purposes and in accordance with applicable regulations, institutional policies, and these Terms.

  • Do not attempt to bypass tenant isolation, RLS policies, or role-based access controls enforced at the application or database layer.
  • Do not misuse the Service, probe for vulnerabilities, or interfere with its operation or the experience of other tenants.
  • Do not submit data you lack the rights to process, or use the Service in a manner that violates export controls, biosafety regulations, or applicable privacy law.
  • Recognize that HelixFlow supports scientific workflows but does not replace professional judgment, validated procedures, or your organization's regulatory obligations.

Your Data & Tenant Isolation

You and your organization retain ownership of data you submit to the Service. You grant Helix Bridge Labs a limited, non-exclusive license to host, process, and display that data solely to provide, secure, and improve the Service within your tenant perimeter.

  • Tenant separation: Each organization receives a logically isolated data plane. Cross-tenant reads and writes are blocked at the database policy layer — not merely at the application UI.
  • Run immutability: Upon experiment completion, engine-level triggers enforce permanent locks on finalized run headers and step records to preserve audit integrity.
  • Privacy alignment: Our handling of personal information and Google OAuth authentication metadata is described in our Privacy Policy.

Intellectual Property

You and your organization retain all right, title, and interest in data, materials, and content you submit to the Service. Helix Bridge Labs does not acquire ownership of your laboratory records, experimental outputs, or research artifacts by virtue of hosting them on the HelixFlow Cloud Tier.

Zero-Scientific-Surveillance Covenant. All research assets, experimental protocols, calculations, and inventory records inputted into the application remain the absolute and exclusive intellectual property of the subscribing organization tenant. HelixFlow claims zero tracking or visibility rights over client IP. We do not monitor, mine, aggregate, or assert any interest in the scientific substance of your workflows — including compound identities, genomic sequences, plate layouts, dilution schemes, or proprietary methodology. Anonymized platform telemetry, as described in our Privacy Policy, is limited to de-identified feature utilization and computation counts and is expressly excluded from any license grant to HelixFlow over your research content.

Third-Party Integrations

The Service may connect to third-party platforms you explicitly authorize. Your use of those integrations is also subject to the applicable third-party terms and policies. You may revoke integration access at any time through your account settings, your workspace administrator, or the third-party provider.

Google Calendar sync. When you authorize Google OAuth calendar scopes, HelixFlow coordinates lab workflows through a non-blocking sync pipeline that projects execution milestones onto your primary calendar without blocking core bench operations.

  • Our execution engine groups contiguous active bench milestones into opaque “Lab Work” slots on your primary calendar, giving you a consolidated view of hands-on laboratory activity.
  • Passive “Incubation” and “Storage” blocks are marked as transparent holds — visible for scheduling awareness but visually distinguished from active bench work.
  • Calendar data processing adheres to Google's Limited Use requirements. We do not share, sell, or transfer your calendar data to third-party data brokers, analytics providers, or unrelated services.
  • Google OAuth identity signals (such as your name, email address, and Google account identifier) are used solely to provision your session and associate you with your organization's workspace.

Availability & Changes

We strive to keep HelixFlow available and reliable on the HelixFlow Cloud Tier, but we do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, or events outside our reasonable control may affect availability.

  • We may modify, suspend, or discontinue features with reasonable notice when practicable.
  • We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above.
  • Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Helix Bridge Labs disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HelixFlow supports scientific workflows but does not warrant regulatory compliance, experimental outcomes, or suitability for any specific research objective.

Limitation of Liability

To the fullest extent permitted by law, Helix Bridge Labs and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or research materials arising from your use of the Service.

Our aggregate liability for claims relating to the Service is limited to the amount you paid us for the Service in the twelve months preceding the claim, or one hundred U.S. dollars if no fees were paid.

Termination

You or your organization administrator may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if your organization's license expires, or if required for security or legal reasons.

  • Upon termination, your access to the workspace and associated integrations (including Google Calendar sync) will cease.
  • Data export and workspace deprovisioning procedures are governed by your service agreement.
  • Provisions that by their nature should survive termination — including disclaimers, limitations of liability, and governing law — will remain in effect.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory local law applies.
